CSS Softtech - Gnext Chat Terms and Conditions of Service

Effective Date: May 31, 2025

These Terms and Conditions ("Terms") govern your access to and use of the Gnext Chat WhatsApp API CRM platform, website located at www.gnextchat.com, and all related services provided by CSS Softtech ("we," "us," or "our").

By registering for, accessing, or using the Services, you ("Client," "You," or "Your") agree to be bound by these Terms, our Privacy Policy, and all other operating rules, policies, and procedures that may be published from time to time on the Website. If you do not agree, you must not access or use the Services.

1. Definitions
  • Account: Your client account on the Gnext Chat platform.
  • Client Data: Any data you submit or transmit on or through the Service.
  • Customer Data: Personal and communication data processed through the Gnext Chat Service. CSS Softtech acts as a Data Processor.
  • Platform Data: Data obtained from Meta via the WhatsApp API used to provide services.
  • Service(s): The Gnext Chat WhatsApp API CRM platform and related tools/features.
  • WhatsApp API: The WhatsApp Business Platform API by Meta Platforms, Inc.
2. Eligibility and Account Registration

2.1 Eligibility: Must be a legal entity, at least 18 years old, and capable of forming a contract.

2.2 Account Information: You must provide and maintain accurate registration details.

2.3 Account Security: You are responsible for keeping login credentials secure and reporting any unauthorized access.

3. The Gnext Chat Service and WhatsApp API Integration

3.1 Service Description: Gnext Chat integrates with WhatsApp Business API to manage communications and customer data.

4. Client Responsibilities & Prohibited Uses
  • Comply with all applicable laws and WhatsApp policies.

  • Do not send spam, impersonate, disrupt, or violate any laws.
5. Intellectual Property Rights

CSS Softtech retains rights to all platform IP. You retain rights to your Client and Customer Data.

6. Payment, Billing, and Subscription
  • Fees are billed monthly or annually in advance.
  • WhatsApp conversation costs are billed separately.
  • No refunds except where required by law.
7. Suspension and Termination
  • You may cancel any time; no refunds for remaining time.
  • We may suspend/terminate for violations or Meta-related issues.
8. Disclaimer of Warranties

The service is provided "as is" with no guarantees of performance or reliability, especially regarding Meta's WhatsApp API.

9. Limitation of Liability

We are not liable for any direct, indirect, incidental, or consequential damages arising from use of the Service or the WhatsApp API.

10. Indemnification

You agree to indemnify CSS Softtech against any claims arising from your use of the Service, violation of these Terms, or third-party rights.

11. Governing Law and Dispute Resolution

Governing Law: India (Maharashtra). Jurisdiction: Nashik courts. Optional arbitration clause may apply.

12. Changes to These Terms

We may change these Terms. Material changes will be notified at least 30 days in advance.

13. Miscellaneous
  • Entire agreement includes Terms, Privacy Policy, and any legal notices.
  • Invalid provisions will not affect others.
  • No waiver unless explicitly stated.
